These Terms of Service ("Terms") govern your access to and use of Billable CPQ (the "Service"), operated by Canopy Consulting Group LLC ("Billable," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
Billable CPQ is a Configure-Price-Quote platform that helps revenue teams build product and pricing configurations, generate branded quotes, proposals, statements of work, and invoice records, route approvals, manage renewals, share proposals via customer-facing "Deal Rooms," collect electronic signatures, and sync with third-party systems you authorize. We may add, change, or remove features over time.
You agree not to:
The data and content you create or upload — including quotes, products, pricing, customer and contact records, proposals, and documents ("Customer Data") — remain owned by you and your company. You grant us a limited license to host, process, and display Customer Data solely to operate and improve the Service and to provide support you request. You are responsible for the accuracy and legality of Customer Data and for having the rights to provide it (including any personal data about your own customers or prospects). Our handling of personal data is described in our Privacy Policy.
The Service lets you share proposals through customer-facing Deal Rooms and collect electronic signatures from your recipients.
The Service may integrate with third-party products you choose to connect (such as Salesforce, payment processing via Stripe, transactional email, and AI providers under your own API key). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or behavior is outside our control.
The Service, including its software, design, trademarks, and content (excluding Customer Data), is owned by Canopy Consulting Group LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you submit feedback or suggestions, you grant us a royalty-free, perpetual license to use them to improve the Service.
Each party may have access to the other's confidential information. Each party agrees to use the other's confidential information only as necessary to perform under these Terms and to protect it with reasonable care. Customer Data is your confidential information.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any calculations, documents, or outputs (including quotes, pricing, margins, or generated PDFs) are accurate or suitable for your purposes. You are responsible for reviewing all outputs before relying on them.
To the maximum extent permitted by law, in no event will Billable or Canopy Consulting Group LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Billable and Canopy Consulting Group LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
These Terms apply for as long as you use the Service. You may stop using and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period and will delete or anonymize it consistent with our Privacy Policy.
We may modify the Service or these Terms from time to time. For material changes to these Terms, we will update the "Last updated" date and provide notice via email or an in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Tennessee, and you consent to personal jurisdiction there.
